1. Acceptance of Terms

These Terms of Service ("Terms") apply to your use of the BrokerMaite platform (the "Service"). By creating an account, uploading documents, or using any part of the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you and BrokerMaite Pty Ltd (ABN to be inserted) ("BrokerMaite", "we", "us", "our"). If you use the Service on behalf of a business or other organisation, you confirm you have authority to bind that entity, and "you" refers to that entity as well.

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you. Continued use after changes take effect means you accept the updated Terms.

2. Description of the Service

BrokerMaite provides software that supports mortgage professionals with income verification and document processing workflows. In practical terms, it helps you upload payslips and related documents, extract key information, and generate summaries or verification outputs that may assist your internal assessment process.

The Service is not financial advice, legal advice, or credit advice. It is not a guarantee of approval, suitability, or compliance. BrokerMaite does not operate as a lender, broker, credit intermediary, or adviser. You remain responsible for how the outputs are used and whether they meet your lender or compliance requirements.

3. Eligibility and Registration

You must be at least 18 years old and able to enter into a binding contract to use the Service.

When registering, you must provide accurate and current information and keep it updated. We may refuse, suspend, or cancel access where we reasonably believe the registration information is false, incomplete, or creates a security or legal risk.

4. Account Security

You are responsible for protecting your login credentials and limiting access to authorised users only. Anything done through your account is treated as your activity, unless it occurred due to our system fault.

If you suspect unauthorised access or misuse, you must notify us promptly. We may suspend access while investigating or while steps are taken to secure the account.

5. Broker Obligations and Client Consent

If you upload documents that relate to a client or any third party, you confirm that you have lawful authority to do so and that you have obtained any required consent. This includes informed consent to collect, upload, and process documents through the Service.

You are responsible for compliance with applicable privacy obligations, including the Privacy Act 1988 (Cth) and the Australian Privacy Principles, as well as any professional or licensing obligations that apply to your business.

BrokerMaite provides software only. We do not assume responsibility for your compliance position, your client disclosures, or your decisions.

If you are a mortgage broker or financial professional acting on behalf of clients:

  • You MUST obtain explicit written consent from your clients before uploading their payslip documents to this Service
  • You are solely responsible for ensuring compliance with Australian Privacy Principles (APPs), NCCP, and APRA guidelines when handling client data
  • You must inform clients that their documents will be processed using cloud provider AI technology
  • You bear full liability for any unauthorized use of client documents or breach of client confidentiality
  • BrokerMaite is not responsible for your compliance with professional obligations, licensing requirements, or client consent requirements

6. User Obligations and Prohibited Use

You must use the Service lawfully and for its intended purpose. You must not use the Service in a way that is deceptive, dishonest, or interferes with platform security.

Without limiting the above, you must not upload documents that are forged, altered, misleading, or fraudulent, and you must not upload documents without proper authority. You must not attempt to access parts of the Service you are not permitted to access, attempt to bypass security controls, introduce malware or harmful code, or interfere with system availability.

You must not copy, scrape, reverse engineer, decompile, or attempt to extract the Service's source code or internal logic, except where such restriction is prohibited by law.

You also agree to:

  • Verify all automated analysis results before relying on them for financial decisions
  • Comply with all applicable Australian laws and regulations, including the Privacy Act 1988, NCCP, and APRA guidelines
  • Use the Service only through our provided APIs and interfaces
  • Not share your account access with unauthorized third parties

7. Automated Processing and Accuracy

The Service uses automated extraction and classification processes (including OCR and rules-based or model-assisted processing). These processes can make mistakes. Variations in document format, scan quality, unusual payroll layouts, or image clarity may affect results. In some cases, the Service may extract incorrect values, omit information, or misclassify items.

You must review and verify any extracted data and any generated outputs before relying on them. The Service does not independently verify whether a document is genuine, unaltered, or complete.

You are solely responsible for:

  • Verifying all analysis results before using them for financial decisions
  • Conducting proper due diligence on all income verification
  • Ensuring compliance with lender requirements and regulatory obligations
  • Making final determinations on client eligibility and loan suitability

The Service is a tool to assist your analysis, not a replacement for professional judgment.

8. Data Ownership and Licence to Process

You keep ownership of the documents and information you upload ("User Data").

By using the Service, you grant BrokerMaite a limited licence to host, store, process, and analyse User Data to provide the Service to you and to maintain and improve the Service. This licence is limited to what is reasonably required to operate the platform.

We may also use aggregated and de-identified information for internal reporting, analytics, and product improvement. We do not sell personally identifiable information.

We do not claim ownership of Your Content and will not use it for purposes outside of providing the Service, except as required by law or with your explicit consent.

9. Data Hosting and Security

The Service may be hosted using third-party infrastructure providers. Depending on the provider and configuration, data may be stored or processed in Australia or in other jurisdictions.

We take reasonable steps to protect User Data, but no online service can guarantee absolute security or uninterrupted availability. You acknowledge the risk of cyber incidents, transmission issues, outages, and data loss events that can occur despite safeguards.

10. Privacy

Our handling of personal information is governed by our Privacy Policy. By using the Service, you consent to our collection and handling of personal information in accordance with that policy.

If you upload client documents, you remain responsible for providing any collection notices and obtaining any consents required by law or by your professional obligations.

11. Intellectual Property

The Service, including its software, interfaces, workflows, branding, and documentation, is owned by BrokerMaite or its licensors. You receive a limited, non-exclusive, non-transferable right to access and use the Service during your subscription period, subject to these Terms.

No rights are transferred to you other than the right to use the Service as permitted under these Terms.

12. Fees and Payment

Some features may require payment. Where fees apply, you agree to pay the fees displayed or agreed at the time you subscribe. If your plan renews automatically, it will continue to renew unless cancelled using the available cancellation process.

Fees are non-refundable except where required by Australian Consumer Law. We may suspend access for non-payment.

Where we use a third-party payment processor, payment handling is subject to that provider's terms and policies, and we may not store full payment card details.

13. Service Availability and Changes

We aim to keep the Service available and functioning, but we do not promise uninterrupted access. The Service may be unavailable from time to time, including for maintenance, updates, third-party outages, or issues outside our control.

We may change features, outputs, supported formats, or functionality over time. We may also suspend or discontinue parts of the Service.

14. Disclaimer

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. We do not warrant that outputs will be accurate, complete, or suitable for your intended use, and we do not warrant that the Service will meet any particular lender requirements or compliance standards.

This includes but is not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

You are responsible for assessing whether the Service is appropriate for your workflows and for validating the outputs. You use the Service at your own risk.

15. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect or consequential loss (including loss of profit, revenue, goodwill, business opportunity, or data). We are also not liable for losses that arise from relying on automated outputs without independent verification.

Without limiting the above, BrokerMaite accepts no liability for:

  • Data breaches, unauthorized access, or security incidents affecting User Data
  • Errors, inaccuracies, or omissions in automated analysis results
  • Loss, damage, or consequences arising from the inability to use the Service

If we are liable to you for any reason, our total aggregate liability arising out of or in connection with the Service is limited to the fees paid by you in the 12 months before the event giving rise to the claim, or AUD $100, whichever is greater.

Nothing in these Terms excludes or limits rights or remedies that cannot be excluded under Australian Consumer Law.

16. Indemnity

You agree to indemnify, defend, and hold harmless BrokerMaite (and our officers, employees, and agents) against claims, losses, liabilities, and expenses arising from:

  • Your breach of these Terms
  • Uploading documents without lawful authority or consent
  • Use of altered or fraudulent documents
  • Your breach of applicable laws or professional obligations
  • Your violation of any rights of another party, including privacy rights
  • Any fraudulent, negligent, or unlawful conduct on your part

This indemnity survives termination.

17. Termination

Your Right to Terminate:

You may terminate your account at any time by contacting us at info@brokermaite.com.au. Upon termination, you will lose access to the Service and any data stored in your account.

Our Right to Terminate:

We may suspend or terminate access if you materially breach these Terms, if we reasonably suspect unlawful or fraudulent activity, or if we are required to do so by law.

We may also suspend or terminate your access if:

  • You violate these Terms or our Privacy Policy
  • You fail to pay applicable fees
  • We decide to discontinue the Service

Effect of Termination:

On termination, access to the Service will cease. We may delete User Data in accordance with our retention practices and legal obligations.

Clauses that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution) will continue to apply.

18. Governing Law and Dispute Resolution

Governing Law:

These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales.

Dispute Resolution:

If a dispute arises, the parties will first attempt to resolve it in good faith through informal negotiation before commencing court proceedings, except where urgent relief is required.

  1. Negotiation: The parties agree to first attempt to resolve disputes through good faith negotiation
  2. Mediation: If negotiation fails, the parties agree to attempt mediation before pursuing legal action
  3. Jurisdiction: If mediation fails, disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia

Consumer Rights:

Nothing in these Terms excludes, restricts, or modifies any consumer rights or guarantees provided under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.
